Last updated: March 27, 2026

1. Agreement

These Terms of Service ("Terms") govern your use of the Context software platform and related services provided by Nokta.dev Pte. Ltd. ("Nokta.dev", "we", "us"). By using our software or services, you agree to these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Service Description

Context is an enterprise knowledge management platform deployed on-premise within your infrastructure. The software connects your tools, preserves institutional memory, and delivers AI-powered, citation-backed answers.

3. License Grant

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable license to install and use the Context software within your organization for internal business purposes during the subscription term.

You may not:

  • Reverse engineer, decompile, or disassemble the software
  • Modify, create derivative works, or remove proprietary notices
  • Sublicense, resell, rent, or distribute the software to third parties
  • Use the software to build a competing product
  • Exceed the scope of the license purchased (users, instances, or features)

4. Your Data

Context is deployed on-premise. All data processed by the software remains within your infrastructure under your control. We do not access, collect, or store your organizational data.

You are solely responsible for your data, including compliance with applicable data protection laws, backup, and security within your environment.

5. Fees and Payment

Fees are set forth in the applicable order form or subscription agreement. All fees are non-refundable except as expressly stated. We may adjust pricing upon renewal with 30 days written notice.

If purchasing through the AWS Marketplace, the AWS Marketplace terms and billing apply.

6. Support and Maintenance

We provide software updates and technical support as described in your subscription plan. Support is provided via email and scheduled calls during business hours. Emergency support availability varies by plan.

7. Warranties and Disclaimers

We warrant that the software will perform materially as described in the documentation during the subscription term. If it does not, your exclusive remedy is for us to correct the non-conformity or, if we cannot, refund prepaid fees for the remaining term.

EXCEPT AS EXPRESSLY STATED, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

We will defend and indemnify you against third-party claims that the software infringes their intellectual property rights, provided you give us prompt notice and reasonable cooperation.

You will defend and indemnify us against claims arising from your use of the software, your data, or your violation of these Terms.

10. Term and Termination

The subscription begins on the effective date and continues for the period specified in your order. Either party may terminate for material breach with 30 days written notice if the breach is not cured within that period.

Upon termination, your license ends and you must uninstall the software. Sections that by their nature should survive termination will survive (including liability limitations, indemnification, and governing law).

11. Confidentiality

Each party agrees to protect the other's confidential information with at least the same degree of care used for its own confidential information. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

12. Governing Law

These Terms are governed by the laws of Singapore. Any disputes shall be resolved in the courts of Singapore, unless otherwise agreed in a separate agreement.

13. General

These Terms, together with any order form, constitute the entire agreement between the parties. If any provision is found unenforceable, the remaining provisions continue in effect. We may update these Terms with 30 days notice; continued use constitutes acceptance.
